The AVP Legal will provide support to members of the legal and contracts teams and will be responsible for coordinating the closing of new aircraft and engine purchases, sales, financings and lease agreements.

Responsibilities:

• Assisting and supporting transaction lawyers in project managing transactions through documentation phase to contract signature and closing
• Assisting with the negotiation of and drafting lease agreements, sale agreements, guarantees, and condition precedent documents.
• Actively participating in and managing transaction closings, including document execution process
• Ensuring all documentation is completed to meet deadlines and in accordance with company standards and compliance guidelines
• Creation of KYC and document signing packs and managing the KYC/AML processes
• Managing transactions from inception to completion, including tracking of conditions precedent, closing processes and post completion management.
• Drafting, reviewing, negotiating and agreeing ancillary documentation, such as lease amendments, side letters, LOIs, term sheets, conditions precedent and corporate approvals.
• Co-ordinating and managing input from technical, credit, finance and commercial departments in transaction due diligence process.
• Liaising where necessary with airlines, banks, aircraft buyers and sellers, manufacturers and maintenance providers.
• Liaising with outside counsel in all relevant jurisdictions when required.
• Liaising with corporate service providers in various jurisdictions to establish and manage special purpose companies

Experience & Skills:

• Qualified solicitor with +2 years PQE in an aircraft leasing environment
• Outstanding attention to detail.
• Knowledge of corporate structures and experience with corporate governance matters.
• Good time management skills, and ability to multi-task and prioritise workload.
• Willingness to take responsibility.
• Good communication skills – ability to deal with customers and senior management and be receptive to instruction.
• Drafting skills.

The successful candidate will lead all legal functions while supporting the team throughout the documentation phase of aviation transactions, providing legal & structuring advice and managing contractual negotiation, execution and closing activities.

Responsibilities

• Contribute to internal deal teams on aviation financing transactions, providing in-house advice and expertise throughout the transaction cycle from term sheet to closing.

• Entity creation and ongoing management and maintenance of special purpose entities required for lending transactions and related ongoing management and maintenance of structure charts for each transaction.
• Assisting with counterparty know your customer (KYC) inquires.
• Additional work as required to assist with transaction management matters arising, including close coordination with other functional teams.

Requirements

• Undergraduate degree required
• Minimum 6 years of applicable legal or transaction management experience in aircraft leasing or lending, and/or private credit background in aviation
• Proactive mindset and self-motivated. Comfortable managing a varied workload independently and handling multiple transactions with tight closing timelines.
• Excellent verbal and written communication skills, to effectively lead/participate in deal teams and handle external negotiations and relationships.

The Commercial Manager will support the purchase, sale, and leasing of commercial aircraft and engines in the EMEA region. The successful candidate will gain broad exposure to the deal cycle while being deeply involved in transactions from origination to execution and delivery.

Technical Data & Records

• Review and compile technical data including ADs, SBs, modifications and interchangeability.
• Coordinate with internal technical teams to organise engine records and support customer requests.
• Prepare technical inputs for marketing packs and commercial documentation.

Engine Modelling & Evaluation

• Analyse BTB, BSI reports and component listings to support daily modelling of acquisition candidates.

Essential Experience

Role Summary

The Aircraft Leasing Contract Manager/Transaction Manager/Paralegal will play a pivotal role in managing complex aircraft leasing transactions, supporting delivery, refinancing, and the associated documentation process. The successful candidate will act as the main point of contact for transaction documentation, liaising with counsel and internal teams to ensure seamless execution and compliance. This role requires a detail-oriented professional who can manage multiple demands efficiently and possesses strong organisational skills.

Key Responsibilities

• Coordinate and oversee aircraft transactions including aircraft acquisitions and disposals, lease agreements and extensions and aircraft financings, ensuring documentation is prepared and distributed in a timely manner.
• Manage and track conditions precedent (CPs), collect and review transaction documents, and ensure accurate distribution to relevant legal counsel.
• Track conditions subsequent (CSs) to ensure transactions are completed post closing.
• Act as the primary liaison between internal stakeholders, external counsel, and counterparties, handling high volumes of correspondence.
• Maintain organised records of transaction documents on internal Sharepoint.
• Assist with the review of security documentation and ensure compliance with company policies and regulatory requirements.
• Ensure all relevant documents and lease / financing details are accurately recorded on the lease management system.
• Support the CEO, legal and compliance team with ad hoc requests, as needed.

Required Experience & Qualifications

• Previous experience as a paralegal, trainee solicitor, contract manager or transaction manager in aircraft leasing, aviation finance, or a related transactional legal environment.
• Strong understanding of transaction documentation and procedures, with experience handling large volumes of paperwork.
• Demonstrated ability to manage multiple stakeholders and coordinate complex transactions.
• Excellent organisational and communication skills.
• Experience working with legal counsel and reviewing legal documents, including insurance and security documentation.
• Proficiency with document management systems and Microsoft Office Suite.
